1. Agreement to Terms

By accessing the Tomas Financial Client Portal ("Service") and using our services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms constitute a legally binding agreement between you and Tomas Financial LLC ("Company", "we", "us", "our").

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your business operations
  • View financial dashboards, reports, and analytics
  • Upload and manage documents through the portal
  • Connect authorized third-party accounting software

This license terminates automatically if you violate these Terms or cancel your subscription.

3. Third-Party Integrations

Our Service offers optional integrations with third-party services, including QuickBooks Online by Intuit Inc.

QuickBooks Online Integration:

  • Connection is entirely optional and initiated by you
  • By connecting, you authorize us to access read-only financial data from your QuickBooks account
  • We access: company information, Profit & Loss reports, Balance Sheets, and recent transactions
  • We do not create, modify, or delete any data in your QuickBooks account
  • You may disconnect at any time from your dashboard, which immediately revokes our access

Other Integrations:

  • Stripe: Payment processing for subscriptions
  • UploadThing: Secure document storage
  • Clerk: Authentication and identity management
  • Cal.com: Appointment scheduling
  • Resend: Transactional email delivery
  • Bland.ai: AI-powered voice calls for scheduling and intake
  • Sentry: Error tracking and monitoring

Third-party services are governed by their own terms and privacy policies. We are not responsible for the practices of third-party providers.

4. Data Security

We implement industry-standard security measures to protect your data:

  • All data transmission uses TLS 1.2+ encryption
  • OAuth 2.0 tokens are encrypted at rest and automatically refreshed
  • No third-party credentials (passwords) are stored on our servers
  • Database access is protected by Row-Level Security (RLS)
  • Regular security audits and monitoring are performed

5. Financial Advice Disclaimer

While we utilize advanced AI and software architecture to organize your finances, specific tax filing positions and financial decisions are ultimately your responsibility. Our AI tools (Voice Agents, Schedulers, Dashboards) are designed for operational efficiency and do not constitute binding legal or financial advice unless explicitly reviewed by a certified professional. Always consult with a qualified tax professional or financial advisor before making significant financial decisions.

6. Service & Payments

Services are billed on a monthly subscription basis:

  • The Ledger ($350/mo): Basic bookkeeping and compliance
  • The Controller ($650/mo): Enhanced services including payroll and sales tax
  • The Architect ($1,200/mo): Full CFO services and AI workflow optimization

Payments are processed securely via Stripe. You may manage your subscription, update payment methods, or cancel through the Stripe Customer Portal accessible from your dashboard. Failure to pay may result in suspension of Portal access and cessation of work.

7. User Responsibilities

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Not share access to your account with unauthorized parties
  • Comply with all applicable laws and regulations
  • Not use the Service for any illegal or unauthorized purpose
  • Not attempt to reverse engineer or exploit the Service

8. Intellectual Property

The "Financial Architect" methodology, dashboard code, AI workflows, branding, and all other intellectual property provided through the Service are owned by Tomas Financial LLC. You are granted a limited license to use these tools solely for your own business operations during your active subscription. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for errors in third-party data (including QuickBooks)
  • You assume all risk associated with financial decisions made using our Service

10. Termination

Either party may terminate this agreement:

  • You may cancel your subscription at any time through the billing portal
  • We may terminate or suspend your access for violation of these Terms
  • Upon termination, your license to use the Service ends immediately
  • Tax-related documents are retained per IRS guidelines (7 years minimum)
  • Third-party integrations are disconnected and cached data is deleted

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Colorado.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
